COMMUNICATIONS CONSENT & ELECTRONIC DISCLOSURE AGREEMENT (SMS, WhatsApp, Email, Automated & AI Communications)

This Communications Consent & Electronic Disclosure Agreement (“Consent Agreement”) governs your consent to receive communications from BIOCUBE LLC, including its brands and operations under BIOCUBE, its franchisees, and any related wellness, fitness, recovery, retail, or membership services (collectively, the “Company”).

We use the contact details you provide to respond to requests and administer the service you choose, subject to applicable law. Providing contact details, joining BIOCUBE or starting a chatbot conversation does not by itself authorize all marketing channels. Optional marketing requires separate, channel-specific consent where required.

1. TYPES OF COMMUNICATIONS COVERED

Service communications may include membership and account administration, scheduling, confirmations, operational or safety notices and support. Optional marketing by email, text, WhatsApp, automated dialing, artificial or prerecorded voice, AI messaging or push notifications is governed by the permission for the applicable channel and any consent required by law.

2. CONSENT IS NOT A CONDITION OF PURCHASE

You acknowledge and agree that: Your consent to receive marketing or promotional communications is NOT a condition of purchasing any product, membership, or service. This consent is provided voluntarily and in compliance with the Telephone Consumer Protection Act (TCPA) and applicable federal and state laws.

3. AUTOMATED & AI COMMUNICATIONS DISCLOSURE

AI-generated messages are identified as automated where appropriate. Starting a chat permits processing needed to provide that requested conversation under the notice presented before it begins. Optional tracking, persistent personalization and marketing remain separate choices. This notice does not itself authorize automated marketing calls, artificial or prerecorded voice messages, or AI marketing follow-ups.

4. MESSAGE FREQUENCY & CARRIER DISCLAIMER

Message frequency may vary depending on your interactions and services used. Standard message and data rates may apply. Wireless carriers are not liable for delayed or undelivered messages.

5. OPT-OUT & REVOCATION OF CONSENT

You may withdraw marketing permission through the unsubscribe or STOP mechanism where supported, or by contacting info@biocubeusa.com. We honor valid revocation requests as required by law. Withdrawal does not by itself cancel your membership. We may send necessary nonmarketing account, safety or legal notices through a lawful channel.

6. REQUIRED CONTACT INFORMATION

You represent and warrant that: The phone number(s) and email address(es) you provide are accurate You are the authorized user of the number(s) You will notify us if your contact information changes The Company is not responsible for messages sent to reassigned or incorrect numbers provided by you.

7. ELECTRONIC RECORDS & SIGNATURES

Electronic signatures and records are used through the applicable disclosure and acceptance process. This notice does not replace any required consent to electronic delivery, or the disclosures about access, copies and withdrawal that apply to a particular transaction.

8. PRIVACY & DATA USE

Communications and contact information are handled in accordance with our Privacy Policy, which is incorporated herein by reference. We do not sell your personal contact information. We may use trusted third-party communication platforms solely to deliver authorized communications.

9. MODIFICATIONS

The Company reserves the right to update this Consent Agreement at any time. An update does not create consent to a new marketing channel or materially expanded data use and does not replace any affirmative choice required by law.

10. GOVERNING LAW

This Consent Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.
